TERMS
Terms of Service (LionsGate Systems LLC)

These Terms govern the use of LionsGate’s website and professional services.
1) Services
LionsGate provides telecom engineering services, including, but not limited to:
RF benchmarking (walk/drive)
KPI validation (Layer 1–3 metrics where applicable)
DAS / neutral-host acceptance support
Private LTE/5G validation support
ATP support, evidence capture, and reporting deliverables
Specific scope, schedule, tools, deliverables, and commercial terms are defined in an executed Quote, SOW, MSA, or Work Order (“Agreement”). If these Terms conflict with an executed Agreement, the executed Agreement controls.
2) Quotes, Scheduling, and Access
Quotes are valid for 30 days unless stated otherwise.
Client is responsible for site access, permissions, escorts, badging, and compliance with venue rules.
Delays or reschedules due to access failures, safety restrictions, client-caused delays, or incomplete permissions may incur additional fees.
3) Payments
Unless stated otherwise in writing:
Invoices are due Net 15 (15 days from invoice date).
Past-due balances may incur a reasonable late fee where permitted by law.
LionsGate may pause work or withhold deliverables if invoices are past due.
4) Deliverables and Acceptance
Deliverables may include reports, raw logs, summaries, maps, charts, photos, and engineering conclusions based on measured/observed data.
Unless stated otherwise in the Agreement:
Client must notify LionsGate of material deficiencies within 5 business days of delivery.
If deficiencies are validated and within scope, LionsGate will correct them within a reasonable timeframe.
Network changes outside LionsGate control (carrier parameter updates, outages, interference changes, construction changes, access constraints) are not considered deficiencies.
5) Client Responsibilities
Client agrees to:
provide accurate requirements and constraints,
disclose known RF restrictions, security rules, and test limitations,
obtain authorizations needed to conduct testing,
ensure a safe work environment and site compliance.
6) Third-Party Tools and Platforms
Testing may involve third-party hardware/software platforms. LionsGate is not responsible for third-party outages, limitations, or vendor changes. Tool selection and methodology may be specified in the Agreement.
7) Confidentiality
If no NDA/MSA is in place, both parties agree to protect confidential information disclosed during the engagement. Confidential information does not include information that is publicly known, independently developed, or lawfully obtained without restriction.
8) Intellectual Property
Each party retains ownership of their pre-existing IP.
Upon full payment, the client receives a non-exclusive, non-transferable, internal-use license to use deliverables for the specific project purpose.
LionsGate may retain anonymized/high-level learnings for internal improvement, provided client-identifying information is removed, unless prohibited by contract.
9) No Guaranteed Outcomes
LionsGate provides engineering measurement and reporting services. LionsGate does not guarantee carrier performance outcomes, optimization changes, coverage expansion, or acceptance approval by third parties.
10) Limitation of Liability
To the maximum extent permitted by law:
LionsGate is not liable for indirect, incidental, special, consequential, or punitive damages.
LionsGate’s total liability is limited to the fees paid for the specific services giving rise to the claim.
11) Indemnification
Client agrees to indemnify LionsGate for claims arising from:
unauthorized testing requests,
failure to obtain permissions,
unsafe site conditions not caused by LionsGate,
client-provided materials that infringe third-party rights.
12) Termination
Either party may terminate per the Agreement. Client is responsible for payment for work performed and any non-cancelable costs incurred through the termination date.
13) Governing Law / Venue
These Terms are governed by the laws of the State of Texas. Venue for disputes will be in a court of competent jurisdiction in Bexar County, Texas, unless otherwise agreed in writing.

REFUND
Refund Policy (LionsGate Systems LLC)

Because LionsGate provides professional engineering services and time-based field work, refunds are handled as follows:
1) Deposits / Prepayments
If your Agreement requires a deposit or prepayment:
Deposits reserve scheduling and resources and may be non-refundable once scheduling is confirmed and personnel/equipment are allocated.
If cancellation occurs before mobilization, LionsGate may refund the unused portion minus administrative time and any non-cancelable costs.
2) Cancellations and Rescheduling
Unless otherwise stated in your Agreement:
48+ hours notice: reschedule without penalty (one time), subject to availability.
24–48 hours notice: may incur a reschedule fee.
Less than 24 hours notice or no access on arrival: client is billed for mobilization and minimum onsite labor.
3) Services and Deliverables
Professional time already performed is not refundable.
If a deliverable contains a verified material error caused by LionsGate, LionsGate will correct it at no cost.
4) How to Request a Refund Review
Email inquiry@lionsgatesystems.com with:
- invoice number,
- project name/site,
- reason for request,
- supporting documentation.
LionsGate will respond within a reasonable timeframe during normal business operations.
